Plug-in terms of use
The conditions that apply individually to each Palf After Effects plug-in.

These Terms of Use (the “Terms”) set out the conditions of use for Adobe After Effects plug-in products (each, and collectively, the “Plug-in”) provided by Palf (the “Licensor”). These Terms apply to each plug-in product provided by Licensor individually. You must review and agree to these Terms before purchasing, downloading, installing, or using the Plug-in. By downloading, installing, or using the Plug-in, you are deemed to have agreed to these Terms.
Article 1 Licence grant
- Subject to your compliance with these Terms, Licensor grants you a limited, non-exclusive, non-transferable, and non-sublicensable right to use the Plug-in with Adobe After Effects.
- You may use the Plug-in for personal production, business production, and other commercial or non-commercial projects.
- One licence is granted to the purchaser personally, or to one user designated by the purchasing corporation or other organisation. Multiple users may not share the same licence.
- You may install the Plug-in on devices that you use and control. You must not use it in a form of shared use, licence sharing, or any other arrangement that effectively allows multiple persons to use it.
- You may make one copy of the Plug-in solely for backup purposes.
Article 2 Ownership
- Copyright and other intellectual property rights in the Plug-in, related documentation, user interface, programmes, and other elements comprising the Plug-in belong to Licensor or to third parties that hold such rights.
- Rights not expressly granted to you under these Terms are reserved by Licensor or other rightful owners.
- Except for rights in the Plug-in itself, Licensor acquires no new rights in footage, images, After Effects compositions, or other works that you create or process using the Plug-in.
- Rights in such works remain with you, your clients, or other rightful owners.
- You may use, reproduce, edit, publish, exhibit, distribute, sell, and deliver such works to third parties for commercial or non-commercial purposes.
Article 3 Prohibited acts
Without Licensor’s prior written permission, you must not:
- Distribute, sell, lend, rent, lease, transfer, sublicense, or publicly share the Plug-in or copies of it to third parties.
- Share the Plug-in’s licence or download information with third parties.
- Reverse engineer, decompile, disassemble, analyse, or modify the Plug-in, except where applicable law does not allow contractual restriction of such acts.
- Remove or alter copyright, trademark, licence, or other proprietary notices affixed to the Plug-in.
- Extract, copy, or use the Plug-in’s programmes or components to develop, distribute, or sell a product identical or similar to the Plug-in.
- Use the Plug-in for purposes that violate law, public order and morals, or third-party rights.
Article 4 Third-party software
- If the Plug-in includes software, libraries, or other components in which third parties hold rights, those components may be subject to licence terms set by their respective rights holders.
- If those third-party licence terms conflict with these Terms, the third-party licence terms prevail for those components.
Article 5 Updates and operating environment
- Licensor may, at its discretion, provide fixes, updates, or new versions of the Plug-in.
- Unless otherwise stated, these Terms also apply to fixes, updates, and new versions of the Plug-in.
- Licensor has no obligation to continue providing updates, new features, technical support, or compatibility with future Adobe After Effects, operating systems, or hardware.
- Before using the Plug-in, you must confirm the supported Adobe After Effects, operating system, hardware, and other operating environment.
Article 6 Term and termination
- The licence under these Terms remains in effect until terminated in accordance with these Terms.
- If you breach these Terms, Licensor may terminate the licence after notice to you or after requiring remediation within a reasonable period. For serious breaches or breaches that are difficult to remedy, Licensor may terminate the licence immediately.
- Upon termination, you must uninstall and delete or destroy the Plug-in and any copies of it.
- Works lawfully created in accordance with these Terms before termination may continue to be used, published, distributed, and delivered by you or other rightful owners after termination.
- Articles 2, 3, 4, 7, 8, 10, 11, and 13 survive termination of these Terms.
Article 7 Disclaimer of warranty
- The Plug-in is provided “as is” in the state in which it is made available.
- To the extent permitted by law, Licensor makes no express or implied warranty regarding merchantability, fitness for a particular purpose, continuity of operation, completeness, accuracy, absence of errors or defects, or non-infringement of third-party rights.
- Licensor does not warrant that the Plug-in will operate with all versions of Adobe After Effects, operating systems, hardware, other plug-ins, or usage environments.
- You must back up necessary data before using the Plug-in and use the Plug-in at your own responsibility.
Article 8 Limitation of liability
- If Licensor’s slight negligence causes damage to you, Licensor’s liability for damages is limited to actual, direct, and ordinary damages that have arisen.
- In such cases, Licensor’s total liability is capped at the purchase price you paid to Licensor or the seller for the Plug-in that caused the damage.
- To the extent permitted by law, Licensor is not liable for lost profits, loss of business opportunity, loss of data, indirect damages, special damages, or consequential damages.
- The limitations in the preceding paragraphs do not apply to damage caused by Licensor’s wilful misconduct or gross negligence.
- If the Consumer Contract Act or other mandatory law prevents all or part of this Article from applying, Licensor is liable to the extent permitted by such law.
Article 9 Changes to these Terms
- Licensor may change these Terms when the change is in the general interest of users, or when it is reasonable in light of the necessity of the change, the appropriateness of the changed contents, and other circumstances.
- When changing these Terms, Licensor will give prior notice of the changed contents and effective date via its website or other appropriate means.
- The changed Terms apply from the notified effective date.
Article 10 Severability
If any part of these Terms is held invalid or unenforceable by law or a court, the remaining provisions continue in full force and effect.
Article 11 Governing law and jurisdiction
- These Terms are governed by and construed in accordance with the laws of Japan.
- Any dispute between Licensor and you relating to the Plug-in or these Terms shall, unless otherwise required by law, be subject to the exclusive jurisdiction of the Japanese court with jurisdiction over Licensor’s domicile as the court of first instance.
Article 12 Relationship with Adobe
- Adobe, Adobe After Effects, and After Effects are trademarks or registered trademarks of Adobe Inc. in the United States and/or other countries.
- Adobe After Effects is a product of Adobe Inc. These Terms do not grant you any rights in Adobe Inc.’s software, services, trademarks, or other rights.
- Acquisition and use of Adobe After Effects are subject to Adobe Inc.’s terms and other conditions.
Article 13 Language
If translations of these Terms are provided, the Japanese version prevails in the event of a conflict, except where local law requires otherwise.
